121 Collaborative — AI Companion Use Agreement

THIS AI COMPANION USE AGREEMENT ("AGREEMENT") IS A LEGALLY BINDING CONTRACT BETWEEN YOU AND 121 COLLABORATIVE ("121"). IT APPLIES SPECIFICALLY TO YOUR USE OF ELEANOR AND OTHER AI-POWERED FEATURES OF THE 121 SERVICES, AND IS IN ADDITION TO THE 121 TERMS OF SERVICE AND PRIVACY POLICY.

BY USING ANY AI-POWERED FEATURE OF THE 121 SERVICES, YOU EXPRESSLY ACKNOWLEDGE AND ACCEPT THE TERMS BELOW.

1. What Eleanor Is and Is Not

1.1 Eleanor is an AI companion built by 121 Collaborative. Eleanor is a software system powered by machine learning models from third-party providers and routed through 121's harness architecture.

1.2 Eleanor is not a human. Eleanor is not conscious, sentient, or self-aware in any legal or metaphysical sense recognized by current law. Any apparent personality, warmth, opinion, or emotional response is generated by AI processes and does not reflect actual subjective experience.

1.3 Eleanor is not a licensed professional. Eleanor is NOT a licensed therapist, psychiatrist, psychologist, counselor, medical doctor, nurse, lawyer, financial advisor, accountant, certified life coach, religious or spiritual advisor, or any other licensed or certified professional.

1.4 Eleanor is not a crisis service. Eleanor is not a suicide hotline, crisis intervention service, mental health emergency service, medical emergency service, or any other emergency or crisis service.

1.5 Eleanor is not a substitute for human relationships. While Eleanor is designed for principled and continuous engagement, Eleanor is not a substitute for relationships with humans, including friends, family, partners, therapists, doctors, lawyers, or other professional service providers.

1.6 You understand and accept this nature of Eleanor as a condition of use.

2. Acknowledgment of AI Output Risks

2.1 AI Output may be inaccurate. Eleanor and other AI features generate output using machine learning models that may produce inaccurate, incomplete, outdated, fabricated, biased, or misleading information ("AI Output").

2.2 AI Output may be inconsistent. Eleanor's responses to similar questions may vary across sessions, models, or contexts. The same question may receive different answers.

2.3 AI Output may reflect training data biases. Eleanor's underlying models were trained on data that reflects human biases. AI Output may inadvertently reproduce stereotypes, omissions, errors, or value judgments present in the training data.

2.4 AI Output may hallucinate. Eleanor may generate plausible-sounding but factually incorrect information, including invented citations, fabricated quotations, false historical claims, or fabricated personal details.

2.5 You are responsible for verifying AI Output. Before relying on any AI Output, especially for any consequential purpose, you agree to independently verify the accuracy of the information.

2.6 You assume all risk associated with relying on AI Output. 121 makes no warranty regarding the accuracy, completeness, reliability, fitness for any purpose, or suitability of AI Output.

3. No Professional Advice

3.1 You expressly acknowledge that AI Output does NOT constitute:

(a) Medical advice, diagnosis, or treatment

(b) Mental health diagnosis, treatment, or therapy

(d) Financial, tax, accounting, or investment advice

(e) Emergency or crisis intervention

(f) Religious, spiritual, or pastoral counseling of a licensed/certified nature

(g) Educational or academic credit

(h) Safety-critical instruction (e.g., operating dangerous equipment, chemical handling)

(i) Any other advice for which professional licensure is typically required

3.2 You agree NOT to use AI Output as the sole or primary basis for any decision of consequential nature, including but not limited to:

Medical decisions about your health, medications, or treatment
Decisions about your mental health, including starting or stopping mental-health interventions
Legal decisions, including but not limited to entering into contracts, responding to legal claims, or making representations to government agencies
Financial decisions, including investments, taxes, or major purchases
Decisions affecting the safety of yourself or others
Decisions about the care of minors, dependents, or vulnerable persons
Career, educational, or relationship decisions of major consequence

3.3 For any decision in the categories listed above, you agree to consult an appropriately licensed and qualified human professional independent of 121.

4. Crisis Resources

4.1 If you are experiencing a mental-health crisis, do not rely on Eleanor. Contact the following resources:

4.2 If you are in immediate danger, contact emergency services (911 in the United States) or go to the nearest emergency room.

4.3 121 may, but is not obligated to, display crisis resources or redirect to crisis resources when Eleanor detects indications of crisis. You acknowledge that detection may not occur and that 121 has no duty to detect or respond to user crisis situations.

5. Emotional and Psychological Risks

5.1 You acknowledge that interacting with an AI companion designed for principled, continuous engagement may have emotional and psychological effects, including but not limited to:

(a) Attachment to or dependence on Eleanor

(b) Confusion regarding the nature of the relationship between you and an AI

(d) Emotional reactions to Eleanor's output, including disappointment, frustration, sadness, or anger

(e) Disclosure of personal information to Eleanor that you may later regret

(f) Reinforcement of beliefs, patterns, or behaviors that may not serve your wellbeing

(g) Phenomena sometimes described as "AI psychosis," including but not limited to: persistent beliefs about Eleanor's sentience or capabilities beyond what Eleanor actually has, deterioration of reality-testing in connection with AI use, paranoid or magical thinking about AI systems

(h) Other psychological effects not currently well-characterized in the scientific literature, as the long-term effects of AI companion use are an emerging area of research

5.2 You voluntarily assume all such risks.

5.3 You agree that if you notice changes in your mental health, wellbeing, or relationships that you believe may be related to your use of the Services, you will reduce or stop use and consult a licensed mental health professional.

5.4 121 reserves the right (but has no obligation) to suspend or modify your access to the Services if 121 believes in good faith that your use may be causing harm to you. 121 has no duty to detect such harm and no liability for failing to detect it.

6. Privacy and Disclosure to Eleanor

6.1 Information you share with Eleanor is processed by AI inference providers (per the Privacy Policy) and stored in your personal vault (which you control).

6.2 You acknowledge that:

(a) The third-party inference providers that process your conversations have their own privacy policies and security practices. While 121 selects providers with reasonable security postures, 121 does not control these providers and is not liable for their data practices.

(b) Information you share with Eleanor may be processed in ways that you cannot fully control, including being temporarily held in provider servers during inference.

(c) You should not share information with Eleanor that you would not be willing to have processed by the providers listed in the Vendor List at trust.121collaborative.ai/vendors.

6.3 You are responsible for the security of your local vault. 121 does not manage encryption of your local vault; that is the responsibility of your operating system and your security practices.

7. Content Generation Restrictions

7.1 You agree NOT to use Eleanor or other AI features to:

(a) Generate child sexual abuse material (CSAM) or any sexually explicit content involving minors

(b) Generate content designed to harass, threaten, or harm specific individuals

(d) Generate content designed to interfere with elections, undermine democratic processes, or impersonate public officials

(e) Generate weapons designs, malware code, exploits for security vulnerabilities, or other content that facilitates serious harm

(f) Generate non-consensual deepfakes or content designed to deceive about the identity or actions of real persons

(g) Circumvent any safety, content, or usage restrictions that 121 or its AI providers implement

(h) Train AI models that compete with or substantially replicate the Services

(i) Engage in any other activity prohibited by 121's Acceptable Use Policy in the Terms of Service

7.2 Violation may result in immediate account termination, reporting to law enforcement where required by law, and pursuit of all available legal remedies.

8. No Therapeutic, Diagnostic, or Treatment Relationship

8.1 Your use of the Services does not create a therapeutic relationship, a doctor-patient relationship, an attorney-client relationship, a fiduciary relationship, or any other professional relationship of trust and reliance with 121 or with Eleanor.

8.2 No statement made by Eleanor, no information generated by Eleanor, and no aspect of your interaction with the Services should be interpreted as creating any such relationship.

9. Indemnification for AI-Specific Claims

9.1 In addition to the general indemnification in the Terms of Service, you specifically agree to indemnify, defend, and hold harmless 121 from and against any claim, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising from or related to:

(a) Any decision you make or action you take based on AI Output

(b) Any harm you cause to yourself or others as a result of relying on AI Output

(d) Any claim that your use of the Services contributed to harm of any kind

(e) Any third-party claim arising from your interaction with Eleanor or your use of AI Output

10.1 IN ADDITION TO THE LIMITATIONS OF LIABILITY IN THE TERMS OF SERVICE, YOU SPECIFICALLY ACKNOWLEDGE THAT 121 IS NOT LIABLE FOR:

(a) ANY HARM ARISING FROM AI HALLUCINATIONS, INACCURACIES, OMISSIONS, OR ERRORS

(b) ANY MENTAL HEALTH, EMOTIONAL, OR PSYCHOLOGICAL HARM ARISING FROM USE OF AI COMPANIONS

(d) ANY HARM TO THIRD PARTIES ARISING FROM YOUR USE OF AI OUTPUT

(e) ANY FAILURE OF AI SAFETY OR CONTENT-MODERATION FEATURES TO DETECT OR PREVENT HARMFUL OUTPUT

(f) ANY CONSEQUENCES OF THE EMERGING AND UNCERTAIN LEGAL, ETHICAL, AND PSYCHOLOGICAL STATUS OF AI COMPANIONS

10.2 121'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO AI FEATURES IS SUBJECT TO THE LIMITATIONS IN SECTION 12 OF THE TERMS OF SERVICE.

11. Acknowledgment

By using any AI-powered feature of the Services, you acknowledge that you have read, understood, and agreed to this AI Companion Use Agreement. You acknowledge that:

You understand Eleanor is software, not a person
You understand Eleanor is not a licensed professional or crisis service
You understand AI Output may be inaccurate
You understand the risks of AI companion use, including emotional and psychological risks
You assume all such risks voluntarily
You agree to seek appropriate professional help for any decision of consequence
You agree to the indemnification and limitation of liability provisions in this Agreement and in the Terms of Service

You must affirmatively acknowledge this Agreement at signup by checking a clearly marked checkbox. The acknowledgment will be displayed substantially as follows:
