Terms of Service

1. Agreement

By creating an account, using the site, starting a subscription, downloading software, or using any 121 service, you agree to these Terms. If you do not agree, do not use the services.

In these Terms, "121," "we," "us," and "our" mean 121 Collaborative Inc.. "You" means the person using the services or the account holder responsible for that use.

2. 18+ Only

The services are only for adults who are at least 18 years old. By using 121 or creating an account, you affirm that you are 18 or older. People under 18 may not create accounts, use the services, submit content, or rely on outputs.

We may reject, suspend, or delete any account if we believe the user is under 18 or has provided false age information.

3. Foundation Beta

121 is a Foundation Beta product in active development. Features, pricing, availability, providers, limits, outputs, and policies may change. Beta services may be interrupted, incomplete, inaccurate, unavailable, or materially different from later releases.

You are responsible for deciding whether the Foundation Beta is suitable for your use. You may cancel paid subscriptions as described in the Refund Policy.

4. Accounts and Security

You are responsible for your account credentials, account activity, billing choices, provider keys, prompts, uploaded or pasted context, and any use of outputs. Keep credentials secure and notify us promptly if you believe your account or payment method has been misused.

You may not use 121 to violate law, infringe rights, bypass security, abuse rate limits, attack services, impersonate others, upload content you do not have the right to use, or create outputs for harmful or deceptive purposes.

5. AI Outputs and User Risk

Eleanor, model providers, and related AI features may generate output that is false, incomplete, unsafe, biased, offensive, outdated, or unsuitable for your circumstances. Outputs are not a promise, instruction, professional judgment, or verified fact.

You assume all risk for context you provide, outputs you request, and any decision, action, omission, publication, integration, or downstream use based on AI output. You are responsible for independently reviewing, verifying, and testing outputs before relying on them.

6. No Professional or High-Risk Advice

121 is not medical, legal, financial, tax, employment, emergency, security-critical, or safety-critical advice. Do not use the services as a substitute for a qualified professional, emergency services, or your own independent judgment.

You may not use 121 where an output error could cause death, personal injury, unlawful discrimination, financial ruin, emergency delay, or other high-risk harm unless you provide all required human review, safeguards, and legal compliance yourself.

7. Payments and Refunds

Paid subscriptions, top-ups, and other paid features are billed through Stripe. You authorize recurring charges for subscriptions you start and any one-time purchases you confirm. You are responsible for taxes, payment method validity, and account cancellation before renewal if you do not want the next charge.

Refunds and cancellations are governed by the Refund Policy. If these Terms and the Refund Policy conflict about refunds, the Refund Policy controls.

8. As-Is Disclaimer

To the fullest extent permitted by law, the services, software, outputs, previews, account features, downloads, billing tools, and documentation are provided "as is" and "as available" without warranties of any kind.

121 disclaims all express, implied, statutory, and other warranties, including warranties of accuracy, reliability, safety, availability, merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that outputs will be correct, safe, lawful, private, complete, or fit for your use.

9. Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless 121 Collaborative Inc., its owners, officers, employees, contractors, processors, and affiliates from claims, damages, losses, liabilities, costs, and expenses arising from your account, inputs, outputs, subscriptions, downloads, integrations, reliance on AI output, violation of these Terms, or violation of law or third-party rights.

10. Limitation of Liability

To the fullest extent permitted by law, 121 Collaborative Inc. will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, lost profits, lost revenue, lost data, business interruption, reputational harm, procurement of substitute services, or harm arising from AI output or your reliance on it.

To the fullest extent permitted by law, 121's total liability for all claims related to the services will not exceed the fees you paid to 121 for the services during the 12 months before the event giving rise to the claim.

11. Disputes, New York Law, and Arbitration

These Terms are governed by New York law, excluding conflict-of-law rules. Any dispute arising out of or relating to the services or these Terms must be resolved by binding individual arbitration in New York, unless applicable law requires otherwise.

Arbitration must proceed only on an individual basis. Class actions, representative actions, consolidated proceedings, and jury trials are waived to the fullest extent permitted by law. Courts located in New York have exclusive authority to enforce arbitration, enter judgment on an award, and handle claims that cannot be arbitrated.

12. Attorney Fees and Bad-Faith Claims

To the fullest extent permitted by law, the prevailing party in any dispute may recover reasonable attorney fees, arbitration fees, court costs, and collection costs.

121 reserves all rights to pursue available claims, counterclaims, sanctions, fees, damages, and other relief against parties who bring fraudulent, malicious, abusive, extortionate, defamatory, or bad-faith claims or who misuse legal process against 121.

13. Changes, Suspension, and Termination

We may update these Terms as Foundation Beta evolves. We may suspend or terminate access, with or without notice, if we believe an account violates these Terms, creates risk, abuses the services, fails payment, or exposes 121 or others to legal, security, operational, or reputational harm.
